§ 1 Scope

These Terms and Conditions apply to all contracts between Harald Klein (hereinafter "Provider") and users of the YourValidator software (hereinafter "User"). Deviating conditions of the User are not recognised.

§ 2 Subject matter

The Provider makes YourValidator available as a browser-based planning tool for marketing budgets. The tool is available in a free version and in paid Pro versions.

Free version: Free access to all core calculation features, without registration. The free version may be used for private and commercial purposes. Mystrategyplan.me only private and public -not commercial.

Pro version: Additional features, in particular saving and comparing plans, plan vs. actual, backups, CRM data import, JSON and PDF export, and AI functions with the User's own API key (BYOK). Pro versions are activated via license key and order ID.

§ 3 Contract conclusion and payment processing

The purchase of a Pro license is handled exclusively by the payment provider Digistore24 (Merchant of Record). The payment provider is responsible for the entire payment process, invoicing and tax processing. The contract of sale is concluded with the payment provider as the contracting party.

After a successful purchase, the license key and order ID are displayed on the order confirmation page and additionally sent by email. Activation takes place in the tool via the Pro login (top right).

§ 4 License packages and prices

All prices are exclusive of VAT. The payment provider will automatically convert the amount into the local currency.

White-label source code licenses for large cross-media consultancy firms are available on request.

§ 4.1 Embed Mode/OEM License — Permitted Embedding Context

(1) The Embed/OEM License authorizes the licensee to embed the tool via an iFrame exclusively into an independent business website operated by the licensee that serves its own business or informational purpose beyond that of the tool. The website must be recognizable as such, in particular through a complete legal notice, the legally required legal disclosures (including a privacy policy), and an independent editorial or content framework (navigation, additional content provided by the licensee).

(2) The embedding serves to use the tool as a supplementary element within the scope of the licensee's own services provided to its customers.

(3) The following, in particular, are not permitted:
a) integration on an isolated page (e.g., a landing page, standalone page, or redirect page) whose primary purpose is to provide the tool;
b) any use in which the tool is offered, advertised, subleased, or made available to third parties for use, in whole or in part, as a standalone product or service that is similar to or competes with YourValidator's offering;
c) the public provision of the embedding in a manner that circumvents the licensee's own business presence.

(4) The technical activation of the clean mode without YourValidator branding ("Clean Mode") is tied to the domain specified by the licensee and stored in the license key. The transfer, reproduction, or use of the embed code on domains other than the licensed domain is not permitted and may be technically prevented.

(5) In the event of a violation of the above provisions, the Provider is entitled to suspend the license with immediate effect and/or terminate it for cause. Further claims remain unaffected.

§ 5 Term and cancellation

Monthly licenses are automatically renewed for another month unless they are canceled via the customer portal before the end of the term. Annual licenses are automatically renewed for a further year unless they are canceled via the customer portal before the end of the term. You can cancel at any time with a single click via your Digistore24 buyer account or through our support team, effective at the end of the current billing period. No hidden terms, no minimum contract term beyond the period you have purchased. You will find the cancellation button in your order confirmation email.

§ 6 Right of withdrawal and money-back guarantee

In accordance with Section 356(5) of the German Civil Code (BGB), the statutory right of withdrawal for digital content (software licenses) expires if the User has expressly agreed, prior to completing the purchase, that the provision of the license key constitutes the start of the performance of the contract, and has acknowledged that they thereby lose their right of withdrawal. Consent is obtained during the checkout process.

Irrespective of this, the Provider voluntarily grants a 14-day money-back guarantee from the date of purchase. Within this period, the purchase can be reversed via Digistore24 without giving reasons.

§ 7 Rights of use

The Provider grants the User a non-exclusive, non-transferable right to use YourValidator. For the free version, this right covers private and commercial use. For Pro versions, it applies within the scope of the purchased license package and is limited to the number of users specified in the package.

Expressly permitted in all versions, including the free version: use in client meetings and presentations, screenshots, screencasts, explanatory videos and social media posts.

Not permitted: resale of the software or the license key, reverse engineering, or removal of copyright notices.

§ 8 Availability

YourValidator runs entirely in the User's browser (client-side). Server dependency exists only for loading the application, the license verification and key recovery. The Provider aims for high availability but does not guarantee uninterrupted accessibility.

§ 9 Limitation of liability

The Provider is only liable for intent and gross negligence. For slight negligence, the Provider is only liable for breach of essential contractual obligations (cardinal obligations), and even then only up to the amount of the foreseeable, contract-typical damage.

Liability for the accuracy, completeness or commercial suitability of calculation results is excluded. YourValidator is a planning tool that calculates the consequences of the User's assumptions – not a management consultancy and not a financial service provider.

§ 10 Universities and educational institutions

The Provider makes free Pro licenses available to universities and educational institutions upon request (info@yourvalidator.net). Access is granted following manual review. There is no legal entitlement to a license being granted. The educational license is intended exclusively for teaching and research purposes and not for commercial use.

§ 11 Amendments to these Terms

The Provider reserves the right to amend these Terms with reasonable notice. Existing users will be informed by email. Continued use of YourValidator after the amended Terms come into effect constitutes acceptance.

§ 12 Applicable law and jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for merchants and legal entities under public law is the Provider's registered office.
